Role Overview:
We are looking for a detail-oriented and experienced Assistant Manager – Legal & Company Secretarial, who will also serve as the Company Lawyer. This dual-role professional will oversee all legal and secretarial responsibilities, ensuring Simplebooks and its clients remain fully compliant with regulatory requirements. You will play a key advisory role in legal matters while managing a team and delivering exceptional service.

Key Responsibilities:

  • Provide legal advice on internal matters and client cases, including conflict resolution and legal interpretation.
  • Represent the company in legal proceedings and regulatory discussions.
  • Draft and review legal agreements, contracts, and key documents to ensure legal compliance.
  • Serve as Company Secretary for client companies and Simplebooks.
  • Review and provide feedback on Articles of Association and Objectives for different company types.
  • Vet and finalize company secretarial documentation and act as an authorized signatory.
  • Advise clients on legal, secretarial, Company Limited by Guarantee, and Trademark matters.
  • Review and sign client legal documents as part of the Company Lawyer role.
  • Assign team responsibilities, monitor workloads, and provide leadership and guidance.
  • Maintain high standards of professionalism, ensuring timely and quality service to clients.

What We’re Looking For:

  • LL.B. / LL.M. and Attorney-at-Law qualification.
  • Over 6 years of post-qualification experience in legal and company secretarial services.
  • Licensed Commissioner for Oaths.
  • In-depth knowledge of the Companies Act and ROC procedures.
  • Strong legal drafting and document review capabilities.
  • Excellent organizational and multitasking skills.
  • Fluent in both English and Sinhala (verbal and written).
  • Proven leadership and team management experience.
  • Client-focused attitude with strong problem-solving abilities.
